Hungary's largest lender OTP Bank has put its Ukrainian unit on its ‘for sale' list, Portfolio.hu has learned on Thursday. While the information is not yet confirmed, there is already a rumour going around among bankers in Ukraine that selling CJSC OTP is a “done deal". Meanwhile, we have also heard that OTP has failed while trying to divest its Ukrainian arm. We would be surprised to learn the transaction has already been closed, but the existence of talks on such deal is unquestionable.

Two question may arise in respect of the sale:

1) Who would be willing to buy a bank in a country that is flirting with sovereign default?
2) Would the buyer assume all the risks attached to in CJSC's loan portfolio?

1) Under the current circumstances the buyer will probably be a Russian bank or, considering a presumably not overly high asking price, some other investment groups from Eastern Europe. Betting a Russian bank is not such a bad idea, given that despite the less-than-amicable Russian-Ukrainian relationships, a Russian financial institution has already bought a Ukrainian bank, promising capital injection. We may find a number of western European banks that could be eying CJSC, but we believe right now they are busy trying to save their own skin.

2) A more crucial issue, which probably sets the purchase price as well, is whether the buyer will assume the entire loan portfolio or some parts of it will need to be written off (i.e. OTP continues to assume joint and several guarantee for certain elements in the portfolio). Obviously, it would be best if the Ukrainian risks were out from OTP's PnL for good and at around equity value..

Why is CJSC the black sheep?

OTP Bank had paid EUR 650 million for the Raiffeisen unit in 2006. The price was high compared to the target's equity - P/BV was 4.7x. According to CJSC's latest earnings report, its equity amounted to HUF 104 billion (EUR 364 m at current prices).

The problem with the Ukrainian subsidiary is that it is large compared to the size of the OTP Group; the country is on the verge of sovereign default, while both households and corporates are sitting on piles of USD debts. And the dollar has firmed markedly to the hryvnia.

Possible impacts of the transaction on OTP Bank:

1) Earnings may come under pressure, but the Tier 1 ratio can remain good

As CJSC is likely to be sold for less than its purchase price, OTP would suffer serious losses even to the tune of HUF 150 billion (the whole purchase price might be written off), but it can be less. Once we stop caring about OTP's 2009 profits - note that the market has started to watch capital more closely than earnings -, we need to stress that the sale will not necessarily lead to a drop in OTP's outstanding Tier 1 ratio. According to OTP's latest statements, goodwill held against foreign operations is not part of Tier 1. OTP's Tier 1 capital ratio - the ratio of a bank's core equity capital to its total risk-weighted assets - would be hurt only if the Ukrainian arm was sold for less than the equity. But even if CJSC is sold for a single euro, Tier 1 would drop by a mere percentage point.)

2) OTP would have one risk less

If the sale of the Ukrainian unit proved to be painless, i.e. nothing of its portfolio is left with OTP, it would be extremely positive to get rid of a major time bomb. This would matter a lot in lean times, especially as we do trust in OTP's risk management capabilities and market knowledge in Hungary and Bulgaria, no matter how deep the crisis is. And in Russia... we hope it'll manage.

3) Upside shrinks, but still positive

As a kind of compensation for the risks, CJSC has been making nice profits. It posted HUF 15.6 bn in the first three quarters of 2008, contributing 7.5% of the consolidated pre-tax profit. The crisis, however, obliterated OTP's previous growth-based business model that targeted regional expansion. Therefore, opting out from the riskiest unit may be interpreted as a swift response to the altered market conditions.

BUDAPEST, Jan 29 (Reuters) - Hungary's OTP Bank said on Thursday it was not under pressure to sell any of its units, including its Ukrainian banking arm.
The bank, reacting to local media reports that it considered selling the Ukrainian unit, said in a statement: "OTP Bank continuously monitors and assesses transaction opportunities, but it emphasizes that there is no pressure to sell."
Earlier in the day news portal www.portfolio.hu said, without sources, that OTP was mulling to sell its Ukrainian unit.
OTP said CJSC OTP Bank, its Ukrainian unit, was among the most recognized banks in the neighbouring country based on its management and asset portfolio, and its corporate portfolio was "appropriately diversified".
The unit posted 11.05 billion forint ($51.03 million) profit in the first nine months of 2008, its net interest and fee revenues were dynamic and its margins rose, OTP said.
It said OTP's research team expected the Ukrainian hryvnia, which has fallen sharply in past months, to stabilize at 8 against the dollar.
Ukraine's state foreign debt is low and the foreign currency reserves of its central bank, coupled with a loan from the International Monetary Fund, covered the full state debt and the short-term liabilities of the economy, OTP said. (Reporting by Sandor Peto; Editing by Jon Loades-Carter)

Поэтому хочу спросить у сотрудников банка:
Как сегодняшнее ухудшение дел в ОТР Венгрия сказывается на отношениях с ОТР Украина? В случае банкротства ОТР Украина, должна ли ОТР Венгрия по-закону выполнять обязательства ОТР Украина перед украинскими клиентами?

дааа похоже статья хорошо ударила по имиджу ОТП, раз набрала такой резонанс, ОТП быстро и достаточно бредово отреагировал (как обычно, в спешке наломали дров) и я бы им не советовал иметь врага в лице уважаемого информационного агенства Portfolio.hu, вот ответ Портфолио на реакцию Венгров:

OTP Bank bank is continuously monitoring and evaluating transaction opportunities, but underlines that it is not under pressure to sell, Hungary's largest lender said in a statement on Thursday, reacting to Portfolio.hu's information that it is poised to divest its Ukrainian unit. In line with its previous practice, OTP will continue to carry out transactions that are value accretive and boost investors' confidence, the bank added. By this statement OTP has not confirmed or denied Portfolio.hu's information.

Hungary´s OTP Bank seen putting Ukrainian arm up for sale

(1) OTP reiterated its guidance given last year that it would put a portfolio approach in the focus of its strategy. It said a part of that was the sale of its insurance arm Garancia which was successfully completed in the third quarter of 2008.

(2) CJSC OTP Bank is one of the most highly acclaimed players on the Ukrainian banking market and is among the best financial institutions regarding its assets portfolio, with an appropriately diversified corporate portfolio, OTP said. The Ukrainian subsidiary posted HUF 11.05 billion after-tax profit in January-September last year and showed outstanding net interest income and net premium income growth, as well.

(3) Regarding Ukraine's macroeconomic outlook, OTP Bank calculates with a less pessimistic scenario. The bank's analysis centre expects USD/UAH to stabilise at around 8. OTP underlined that nominal wage growth has been nearly 40% over the past two years and that government debt is extremely low even in international comparison (7.6% of GDP). It also stressed that the central bank's foreign currency reserves and an IMF credit facility provide coverage for the entire government debt and short-term debts, as well.

Portfolio.hu viewpoint:

Once we try to read between the lines of the statement we'll see that in paragraph (1) OTP puts emphasis on a “portfolio approach" in its strategy, which, we believe, could easily tolerate a potential sale of CJSC. In paragraph (2) OTP confirms that CJSC is one of the best in Ukraine. This is extremely important, because according to leaked information recapitalisation in the banking sector could demand more than USD 3 billion and it matters a great deal which of the Top17 banks “eats up" how much. In paragraph (3) OTP assumes a basically positive macroeconomic scenario, while - according to Portfolio.hu's information - there are already rumours going around that only 40% of the planned tax revenues will actually reach state coffers in January.

OTP bought its Ukrainian unit in 2006 for EUR 650 million and has pumped in fresh capital since, while CJSC's 340% loan-to-deposit ratio is using up a great deal of parent company funds.

Over the past years we have heard several acquisition rumours that ended without a deal. The same applies to divesting speculations. Only time will tell whether the rumour about OTP planning to detach its Ukrainian arm was true or not...
